Terms of sale

Le Compagnon — Aldibo. Version 1.0 — effective as of 17 June 2026. This English version is provided for convenience; the French version is the sole authoritative text.

Article 1 — Purpose and scope

These Terms of Sale (the "Terms") govern the contractual relationship between ALDIBO ("Aldibo"), publisher of the Le Compagnon service, and any legal entity (the "Client") subscribing to the service, either directly or through an authorized Aldibo partner.

Subscribing to the service implies full and unconditional acceptance of these Terms. By checking the acceptance box at the time of subscription, the Client acknowledges having read, understood and accepted these Terms in their entirety, without reservation.

These Terms prevail over any document issued by the Client. Aldibo reserves the right to amend these Terms at any time, subject to thirty (30) days’ notice (see Article 14).

Article 2 — Definitions

Aldibo: the company publishing the Le Compagnon service, with its registered office at Le Logis de Paris, 66 impasse Font Freye, 83600 Les Adrets-de-l’Estérel, France.

Le Compagnon: a conversational AI service specialized in behavioural coaching, anchored to each enrolled User’s DISC by Systémologie® profile.

Client: any legal entity that has subscribed to the Le Compagnon service, either directly with Aldibo or through an authorized Partner.

Partner: any legal entity authorized by Aldibo to market Le Compagnon to its own clients.

Enrolled User: any individual linked to the Client’s account with access to the service.

Message: a written exchange between an Enrolled User and Le Compagnon. Each interaction generates two messages: one from the User and one reply from Le Compagnon.

Message pack: a bundle of messages, whose unit volume is defined in the applicable Aldibo pricing policy, purchased by the Client and usable until 31 December of the current year.

Onboarding: the initial service provided during the first month following signature, comprising platform access, a standard DISC by Systémologie® report for each Enrolled User, training for the Client’s designated Administrator, and the learner communication programme.

Contractual period: the period from the month of signature to 31 December of the same calendar year.

Administrator: the individual designated by the Client to manage the account, Enrolled Users and message pack purchases.

Article 3 — Access to the service

3.1 Access to the Le Compagnon service is conditional on a valid subscription and payment of the amounts due.

3.2 The Client designates an Administrator responsible for managing the account. The Administrator is responsible for creating and managing Enrolled User accounts and for monitoring message consumption.

3.3 The Client undertakes not to transfer, sublicense or share its access credentials with unauthorized third parties.

3.4 Aldibo reserves the right to suspend access to the service in the event of non-payment, fraudulent use or breach of these Terms, following formal notice that remains unaddressed for seven (7) calendar days.

Article 4 — Description of the service

Onboarding (month 1). The first month following signature is dedicated to onboarding. It includes: platform access for all Enrolled Users, generation of the standard DISC by Systémologie® report for each Enrolled User, training for the Client’s designated Administrator, and the roll-out of the learner communication programme (up to 12 actions over the calendar year, one per month).

During the onboarding month, each Enrolled User has access to Le Compagnon’s conversational feature up to a limit of one hundred and twenty (120) messages, as part of reasonable use related to getting started with the service. This quota is specific to the onboarding period: it is non-renewable and cannot be carried over to subsequent months. Beyond this limit, no message consumption is counted or billed during the onboarding month.

Continuous access to the service (month 2 onwards). From the second month, Enrolled Users have access to Le Compagnon within the limit of messages available in the Client’s account. Access to the DISC by Systémologie® report remains available to all Enrolled Users for the entire duration of the contract.

Learner communication programme. Aldibo provides the Client with up to twelve (12) communication actions per calendar year, one per month, directed at Enrolled Users. The content and format of these actions are defined by Aldibo from a pre-established list and may change from year to year.

Article 5 — Pricing and billing

5.1 Applicable pricing is that in force on the date of subscription, as set out in the applicable Aldibo pricing policy, available on request.

5.2 The onboarding month is invoiced in full at signature, based on the applicable rate and the number of Enrolled Users.

5.3 From the second month onwards, billing is based on the message packs purchased by the Client.

5.4 All prices are expressed in euros, excluding tax. Applicable VAT is that in force on the invoicing date.

5.5 Invoices are payable on receipt, unless otherwise agreed in writing. Any late payment incurs late-payment penalties at the statutory rate in force, plus a flat recovery indemnity of forty (40) euros pursuant to Article L.441-10 of the French Commercial Code.

5.6 In the event of non-payment by the due date, Aldibo reserves the right to suspend access to the service following formal notice that remains unaddressed for seven (7) calendar days.

Article 6 — Message packs

6.1 Messages are purchased in packs, whose unit volume is defined in the applicable Aldibo pricing policy. The Client may purchase as many packs as it wishes, subject only to the minimum defined in Article 6.2.

6.2 A monthly minimum number of packs applies, corresponding to the projected volume for thirty percent (30%) of Enrolled Users at a rate of one hundred and twenty (120) messages per active User per month, rounded up to the next pack size as defined in the applicable pricing policy.

6.3 Messages not consumed by the end of a calendar month are automatically carried over to the following month.

6.4 The message counter resets to zero on 31 December of each year. Messages not consumed by 31 December are permanently lost and give rise to no refund or carry-over to the following year.

6.5 The Client has access to message-consumption tracking tools within its management space. It is the Client’s responsibility to manage its message stock and make additional purchases based on actual usage.

6.6 If the message stock is exhausted, access to Le Compagnon’s conversational feature is progressively degraded and then suspended, without this constituting any fault on Aldibo’s part. Access to the DISC report remains available.

Article 7 — Term and renewal

7.1 The contract takes effect on the date of signature and runs until 31 December of the same calendar year.

7.2 At the end of the initial Contractual Period, the contract is renewable for a full new calendar year (1 January to 31 December) upon issuance of a renewal purchase order.

7.3 In the absence of a renewal purchase order before 31 December, the contract is not automatically renewed and access to the service is suspended on that date.

7.4 Renewal is subject to the rates in force at the time of renewal, as communicated by Aldibo at least thirty (30) days before the renewal date.

Article 8 — Termination

Termination by the Client. The Client may terminate the contract at any time, by written notice to Aldibo, subject to thirty (30) calendar days’ notice. Termination gives rise to no refund of amounts already paid, including unused message packs.

Termination by Aldibo. Aldibo may terminate the contract automatically, without compensation, in the event of a serious breach by the Client of its contractual obligations, in particular non-payment, fraudulent use or breach of these Terms, following formal notice that remains unaddressed for fifteen (15) calendar days.

Effects of termination. As of the effective date of termination, access to the service is suspended for all Enrolled Users. User data is retained for thirty (30) days from the date of termination, then permanently deleted, unless otherwise required by law. Unused messages are permanently lost and give rise to no refund.

Article 9 — Liability and limitations

9.1 Aldibo undertakes to provide the service with the care and diligence of a professional service provider. The service is provided "as is", with no guarantee against interruption or error.

9.2 Aldibo shall not be liable for indirect, intangible or consequential damages suffered by the Client, including loss of revenue, data or profits.

9.3 Aldibo’s total liability under these Terms is expressly limited to the amounts actually paid by the Client during the three (3) months preceding the event giving rise to the damage.

9.4 The Client is solely responsible for its Enrolled Users’ use of the service, for the content of exchanges with Le Compagnon, and for compliance with the legal and regulatory obligations applicable to its business.

9.5 Le Compagnon is a behavioural-development support tool. It does not, under any circumstances, constitute a medical, psychological or therapeutic device. Aldibo disclaims any liability for decisions made by Users based on exchanges with Le Compagnon.

9.6 Le Compagnon includes a mechanism for referring users in situations of distress. Where an exchange presents signals that may indicate a risk to a User’s wellbeing, Le Compagnon directs the User to relevant support resources, including the French national suicide-prevention helpline (3114), emergency services and, where applicable, assistance contacts provided by the Client for this purpose. This mechanism is a referral tool, not a guaranteed monitoring or detection system; it does not replace the Client’s own workplace health and prevention arrangements. No information about the content of exchanges, and no named alert, is transmitted to the Client, the Administrator or any third party on the basis of these signals. The User remains solely responsible for deciding whether to seek help or share any part of their exchanges. Users are informed of this mechanism when they register for the service.

Article 10 — Personal data

10.1 In connection with the service, Aldibo acts as a processor within the meaning of the General Data Protection Regulation (GDPR) for Enrolled Users’ data, with the Client acting as data controller.

10.2 Aldibo undertakes to process Enrolled Users’ personal data solely for the purposes necessary to provide the service, in accordance with the Client’s instructions and applicable legal provisions.

10.3 Enrolled Users’ personal data is retained for the duration of the contract, then for a maximum of thirty (30) days following termination or non-renewal, before permanent deletion.

10.4 The Client undertakes to inform its Enrolled Users of the processing of their personal data in connection with the service and to obtain their consent where required.

10.5 A Data Processing Agreement (DPA) may be entered into between Aldibo and the Client upon written request.

Article 11 — Intellectual property

11.1 The Le Compagnon service, its interface, algorithms, content and underlying technology are and remain the exclusive property of Aldibo. Subscribing to the service confers no intellectual property rights on the Client over these elements.

11.2 The DISC by Systémologie® profile generated for each Enrolled User is the property of Aldibo and is made available to the Client and to the relevant User as part of the service.

11.3 Content submitted by Enrolled Users in their exchanges with Le Compagnon remains their property. By submitting it to the service, they grant Aldibo a limited licence to use it for the purposes of providing and improving the service, in accordance with the provisions on personal data.

11.4 The Client undertakes not to reproduce, decompile, reverse-engineer or attempt to extract the source code of the service.

Article 12 — Confidentiality

12.1 Each party undertakes to treat as strictly confidential any confidential information communicated by the other party in the performance of the contract, and not to disclose it to third parties without the other party’s prior written consent.

12.2 Confidential information includes, in particular: service usage data, Enrolled Users’ DISC profiles, specific pricing terms, and any document marked as confidential.

12.3 This confidentiality obligation survives termination or non-renewal of the contract for a period of three (3) years.

Confidentiality of User exchanges. The content of exchanges between an Enrolled User and Le Compagnon is strictly personal. It is not accessible to the Client, the Administrator, or any other Enrolled User, and is not used by Aldibo for individual reporting to the Client. Aldibo implements technical measures to guarantee this separation. The Client may not require Aldibo to provide access to the content of an Enrolled User’s exchanges.

Article 13 — Force majeure

Neither party shall be liable for any failure to perform its contractual obligations resulting from an event of force majeure within the meaning of Article 1218 of the French Civil Code, including internet infrastructure failure, a large-scale cyberattack, a natural disaster, or any government decision rendering performance of the service impossible. The party invoking force majeure must inform the other party within forty-eight (48) hours of the event occurring.

Article 14 — Amendments to these Terms

Aldibo reserves the right to amend these Terms at any time. Any amendment is notified to the Client electronically, with a minimum of thirty (30) days’ notice before it takes effect. In the absence of written objection from the Client within this period, the new Terms are deemed accepted. In the event of objection, the Client may terminate the contract without penalty before the new Terms take effect.

Article 15 — Governing law and jurisdiction

These Terms are governed by French law. In the event of a dispute relating to their interpretation or performance, the parties undertake to seek an amicable solution before any legal action. Failing an amicable agreement within thirty (30) days, the dispute shall be submitted to the exclusive jurisdiction of the Commercial Court (Tribunal de Commerce) of Cannes, France, notwithstanding plurality of defendants or third-party proceedings.
